These Terms and Conditions ("Terms") are a binding agreement between you and Expenlio ("Expenlio", "we", "us" or "our"), a service operated from Gujarat, India, governing your access to and use of expenlio.com, the Expenlio application at app.expenlio.com and related services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

2. Your account

• You are responsible for the information you provide and for keeping your login credentials confidential.
• You are responsible for all activity that occurs under your account.
• Notify us promptly at hello@expenlio.com of any unauthorised use or security breach.
• You may not share, sell or transfer your account, or let others use it.

3. The Service and licence

Expenlio is a personal-finance decision tool that helps you record your money and make better spending decisions. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for your own personal use. We may add, change or remove features at any time.

4. Subscriptions, billing and payments

• Paid plans: Expenlio is a paid subscription. You can choose monthly, quarterly, six-month or annual billing. Prices are shown in Indian Rupees (INR) and are exclusive of taxes unless stated; applicable taxes (such as GST) will be added.
• Auto-renewal: subscriptions renew automatically at the end of each billing cycle at the then-current price for that cycle, unless you cancel before the renewal date.
• Payments: payments are processed by a third-party payment processor (for example, Razorpay). By subscribing, you authorise us and our processor to charge your chosen payment method for the applicable fees and renewals.
• Price changes: we may change prices. Any change applies from your next billing cycle, not the current one, and we will give reasonable notice where required.
• Cancellation: you can cancel anytime from your account. Cancellation stops future renewals; you retain paid access until the end of the current billing cycle.
• Refunds: except where required by applicable law (including the Consumer Protection Act, 2019), fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods or unused time.
• Failed payments: if a payment fails, we may suspend or downgrade your access until payment is resolved.

5. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent or harmful purpose;
• attempt to access, probe or disrupt the Service, its security or other users' data;
• reverse engineer, copy, scrape, resell or create derivative works from the Service, except as permitted by law;
• upload malware, or content that infringes others' rights or violates any law;
• use automated means to access the Service in a way that harms or overloads it.

6. Your data

The information you add to the Service remains yours. You grant us a limited licence to host, process and display that information solely to operate and provide the Service to you, as described in our Privacy Policy. You are responsible for the accuracy of the information you enter, and for keeping your own backups where important to you.

7. Intellectual property

The Service, including its software, design, text, graphics, the Expenlio name and logo, and all related intellectual property, is owned by Expenlio or its licensors and is protected by law. These Terms do not grant you any right to use our trademarks or branding without our prior written consent.

8. Not financial, tax or investment advice

Expenlio is an informational and money-management tool. It does not provide financial, tax, legal or investment advice, and nothing in the Service is a recommendation to take or refrain from any financial action. Outputs such as scores, projections, affordability checks and coach guidance are estimates based on the data you enter and are provided for your information only. You are solely responsible for your financial decisions, and you should consult a qualified professional before making important decisions.

9. Third-party services

The Service may rely on or link to third-party services (such as payment processing and hosting). We are not responsible for the content, policies or practices of third parties, and your use of them may be subject to their own terms.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure, or that results will be accurate or reliable.

11. Limitation of liability

To the maximum extent permitted by applicable law, Expenlio and the people and partners who operate it will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or savings, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Expenlio from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your misuse of the Service or your breach of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your licence ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity and governing law) will survive.

14. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. We will post the updated Terms here with a new "Last updated" date and, where changes are material, take additional steps to notify you. Your continued use of the Service after the changes take effect means you accept the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Ahmedabad, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

16. Grievance redressal

For any complaint or grievance regarding the Service, please contact our Grievance Officer by email at hello@expenlio.com. We will acknowledge and address grievances within the timelines required by applicable law.

17. General

• These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• If any provision is held unenforceable, the remaining provisions stay in effect.
• Our failure to enforce any right is not a waiver of that right.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
• We are not liable for delays or failures caused by events beyond our reasonable control.
